Model Commercial Use License Agreement
Special Notice: Before choosing to use the models of Fujian Meer Network Technology Co., Ltd., please read carefully the terms and contents of this Agreement in advance, especially terms regarding user obligations, disclaimers of warranties, and limitations of liability. The user's use of models involved in the Model Commercial Use Authorization Application and this Agreement indicates complete acceptance of and agreement to abide by all contents of this Agreement. If you do not agree to the terms of this Agreement, please do not proceed with payment and immediately cease using the large models.
I. Definitions
Large Models: Refers collectively to open-source models and derivative models.
Open-Source Models: Refers to the models and the computer algorithms and parameters contained therein involved in the Model Commercial Use Authorization Application submitted by you to the Publisher.
Derivative Models: Refers to new models generated by users through methods such as altering algorithms or parameters of open-source models.
Publisher: Refers to Fujian Meer Network Technology Co., Ltd. (abbreviated as "Fujian Meer").
Use: Unless otherwise specified, use under this Agreement includes operations such as downloading, computing, sharing, modifying, and distributing models, as well as operations such as sharing and modifying content generated by models.
User: Refers to an institution or individual using open-source models pursuant to this Agreement.
Model Generated Content: Refers to content generated by inputting prompt words (i.e., prompts) into large models without altering parameters.
II. Grant of License
Under the conditions established in this Agreement, the MaiToken Platform grants users a non-exclusive, perpetual (if you violate relevant laws, regulations, policies, or provisions of this Agreement during use, the MaiToken Platform has the right to revoke this authorization and immediately terminate your use of large models) right to use large models, including model inference, model modification, developing applications or product services based on models, subject to the following prerequisites:
Source Attribution: Users must indicate the source of large models and attach this Large Model License Agreement (or link) when using large models and large model generated content.
Permission to Modify and Publish: Users may publish and disseminate derivative models formed after their own modification of open-source models as well as content generated by derivative models.
Promotional Restrictions: Users must not promote or publicize this large model in the name of the Publisher.
Commercial Authorization: After obtaining written authorization from the Publisher, users may use this large model for reasonable and legitimate commercial purposes.
III. License Restrictions
Users must not copy, assign, lease, lend, sell, or offer sublicenses or re-licenses of all or part of the model, or engage in businesses competing with the Publisher.
IV. Model Modifications
Users have the right to modify open-source models by changing algorithms or parameters to obtain derivative models, provided that this Agreement is not violated.
V. Disclaimer of Warranties
Unless required by applicable law or agreed in writing, open-source models are provided on an "AS IS" basis, and the Publisher makes no warranties or representations of any kind, whether express or implied, including but not limited to warranties of title, non-infringement, or fitness for a particular purpose. Users are responsible for the results of using and modifying open-source models and model generated content, or using and redistributing derivative models, and assume risks that may arise when exercising rights under this License Agreement.
VI. Limitation of Liability
Users shall comply with the following restrictions during commercial use of open-source models:
Any derivative works developed by users based on this open-source model, including but not limited to modified, derived, or integrated versions, shall remain subject to this Agreement and retain the original license and copyright notice of this open-source model.
Users assume full responsibility for their conduct in using open-source models and model generated content, shall abide by laws, regulations, and policies applicable in the place where open-source models are used, and fulfill corresponding algorithm filing, security assessment, and other requirements; they must not be used for any illegal, infringing, fraudulent purposes, endangering national security, violating public order and good morals, or infringing upon others' trade secrets, intellectual property rights, personal information protection rights, privacy rights, reputation rights, portrait rights, personality rights, or other rights and interests.
Users must not in any way take measures beyond normal use, such as reverse engineering or decompilation, against open-source models in an attempt to extract data, parameters, code, or other confidential information belonging to the Publisher from open-source models.
Under any circumstances and in accordance with current effective laws, whether in tort (including negligence), contract, or otherwise, even if the Publisher has been advised in advance of the possibility of such damages, the Publisher shall not be liable for losses caused to users due to using this license or being unable or failing to use large models (including but not limited to loss of goodwill, work stoppage, or any other damage, whether direct, indirect, special, or incidental), unless required by applicable law or agreed to in writing by the Publisher.
VII. Amendments to the Agreement
There is a possibility that revised or new versions of this Agreement may be issued from time to time. If the Publisher notifies you of a revised or new version of this Agreement through methods including but not limited to site announcements, emails, SMS, etc., the revised or new version shall take effect within three days from the date of publication. If you do not accept the revised or new version, you should stop using the large models authorized under this Agreement.
VIII. Governing Law, Jurisdiction, and Miscellaneous
The interpretation and application of the provisions of this Agreement shall be governed by the laws of the People's Republic of China (for the purposes of this Agreement, excluding Hong Kong, Macao, and Taiwan). Disputes between the Publisher and users relating to the provisions of this Agreement shall be governed by the People's Court where the Publisher is domiciled.
If any provision of this Agreement is invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding upon the Publisher and users of the model.
The Publisher's failure or delay in exercising any right or power prescribed in these Terms of Service shall not be deemed a waiver of exercise, and any single or partial exercise of a right or power shall not preclude any other or further exercise of rights or powers or the exercise of any other right, power, or privilege under this Agreement.
