Before you formally submit an application for changing your account entity, please be sure to read this Agreement carefully. This Agreement highlights provisions that will significantly affect your rights and obligations in bold or * to draw your special attention. If you have questions about the terms of this Agreement, please consult the MaiToken Platform. If you do not agree with the contents of this Agreement or cannot accurately understand the MaiToken Platform's explanation of the terms, please do not proceed with subsequent operations.

When you directly confirm on web pages, accept links referencing this page and prompt contents, execute written agreements, and use other methods recognized by the MaiToken Platform, or choose to accept this Agreement in ways recognized by other laws, regulations, or customs, it indicates that you have reached an agreement with the MaiToken Platform and agreed to accept all terms and conditions of this Agreement. This Agreement shall become legally binding upon you as of the effective date agreed herein.

Please ensure that you accept this Agreement only after you are certain that the operation of changing the account entity can achieve your intended purpose, and that you can accept relevant consequences and liabilities arising from this change behavior, before proceeding with subsequent operations.

I. Agreement Parties, Scope, and Effectiveness

1.1 This Agreement is an agreement reached between the account holder of a specific MaiToken Platform account ("You", "Original Entity") and Fujian Meer Network Technology Co., Ltd. ("Meer") regarding your application to assign the rights and obligations under the MaiToken Platform Website Terms of Service ("Account Agreement"), previously entered into by both parties for the MaiToken Platform account for which the entity change is currently requested, to a third party, and related matters.

1.2 This Agreement is subject to conditions precedent and shall take legal effect upon you and the MaiToken Platform only when all three of the following conditions are simultaneously satisfied:

  • The MaiToken Platform account for which you apply to change has completed real-name verification, and you are the entity verified under such real-name verification;

  • The MaiToken Platform has reviewed and approved your application for changing the account entity;

  • The third party to whom you apply to assign rights and obligations under the Account Agreement ("New Entity") agrees to accept the account entity change in accordance with the stipulations of the Agreement on Accepting Account Entity Change.

1.3 Relevant matters regarding the transfer of all products, services, funds, claims, debts, etc., under the account (collectively referred to as "Account Resources") between you and the New Entity shall be separately agreed upon between you and the New Entity. However, if any agreement between you and the New Entity conflicts with the provisions of this Agreement, the provisions of this Agreement shall take precedence.

II. Definitions and Interpretations

2.1 "MaiToken Platform Official Website": Refers to websites including the domain name maitoken.ycsoft.site.

2.2 "MaiToken Platform Account": Refers to the numerical ID assigned by the MaiToken Platform to registered users, hereinafter referred to as "MaiToken Platform Account" or "Account".

2.3 "MaiToken Platform Member": Refers to an individual, legal person, or other organization that voluntarily registers and obtains a MaiToken Platform Account.

2.4 "MaiToken Platform Account Holder": Refers to a MaiToken Platform Member who registers, holds, and uses a MaiToken Platform Account. For accounts that have completed real-name verification, unless there is contrary evidence, the MaiToken Platform will determine the account holder based on the user's real-name verification information; if the information filled in by the user differs from the real-name verified entity information, the real-name verification information shall prevail. For accounts that have not completed real-name verification, the MaiToken Platform will reasonably determine the account holder based on information filled in by the user combined with other relevant factors.

2.5 "Change of Account Real-Name Verification Entity": Refers to the change of the real-name verified entity of a MaiToken Platform Account from one entity (Original Entity) to another real-name verified entity (New Entity), referred to in this Agreement as "Account Entity Change".

2.6 The procedures and consequences of "Account Entity Change" under this Agreement only apply to circumstances where the real-name verified entity of a MaiToken Platform Account is changed pursuant to an application initiated by the original account entity and accepted by the new account entity.

III. Conditions and Procedures for Change

3.1 The MaiToken Platform only accepts applications for account entity change under the following conditions:

  • Where an account entity change is necessary due to reasons such as merger, division, reorganization, dissolution, or death of the original account entity;

  • Where an account entity change is required pursuant to effective legal instruments such as effective judgments, rulings, awards, or decisions;

  • Where the actual account holder is inconsistent with the account's real-name verified entity and explicit proof is provided;

  • Where an account entity change should be conducted according to laws and regulations;

  • Other circumstances where the MaiToken Platform, after prudent judgment, deems that an account entity change may be conducted.

3.2 To initiate an account entity change, you must comply with the following procedural requirements:

  • You must initiate an account entity change application under the MaiToken Platform account requested for change;

  • The MaiToken Platform has the right to perform secondary verification via mobile phone numbers, require you to issue proof of authorization (when you initiate a change application through an account manager), and provide other materials deemed necessary by the MaiToken Platform to confirm that the application for account entity change is indeed your true intention;

  • You must agree to the provisions of this Agreement and accept that this Agreement is legally binding upon you;

  • You must comply with requirements of other MaiToken Platform rules and policies related to account entity changes.

3.3 You understand and agree that:

  • Before the New Entity confirms acceptance and completes real-name verification, you may withdraw or cancel this account entity change process;

  • Once the New Entity confirms acceptance and completes real-name verification, the MaiToken Platform will not support your request for revocation or cancellation;

  • You have an obligation to cooperate with the New Entity to complete the handover of account management authority.

3.4 You understand and agree that if any of the following circumstances is discovered, the MaiToken Platform has the right to terminate the account entity change procedure at any time or adopt corresponding handling measures:

  • A third party initiates a complaint against the account that has not yet been resolved;

  • The account is undergoing an investigation by national regulatory authorities;

  • The account is involved in litigation, arbitration, or other legal proceedings;

  • There exist cooperative relationships under the account such as credit control relationships or partnerships with the MaiToken Platform that are associated with the identity of the Original Entity;

  • Other circumstances exist that may damage state or public interests, or infringe upon the rights of the MaiToken Platform, Alibaba, or other third parties.

IV. Consequences of Account Entity Change

  • Unless otherwise agreed in this Agreement, all rights and obligations under the Account Agreement signed between you and the MaiToken Platform will be immediately assigned to the New Entity;

  • Ownership of the account and all resources under the account will be completely transferred to the New Entity. However, cooperative agreements regarding preferential policies, credit control, partnerships, etc., separately reached between you and the MaiToken Platform through this account, or affiliations existing with other MaiToken Platform accounts, will automatically terminate as of the time of account entity change;

  • The MaiToken Platform does not accept your request, based on agreements between you and the New Entity or other grounds, to transfer one or more businesses or rights and interests under this account to other accounts designated by you;

  • The MaiToken Platform reserves the right to reject your request to revoke the account entity change based on disputes between you and the New Entity or other reasons;

  • The MaiToken Platform has the right, in the event of a dispute or controversy between you and the New Entity regarding account management authority, to adopt corresponding measures to enable the New Entity to obtain actual management authority over the account.

4.1 You understand and confirm that the account entity change does not mean that you are exempted or relieved from all acts and liabilities under the account as of the time of change:

  • You shall still remain liable for all acts occurring under the account prior to the account entity change;

  • For contracts and other matters that arose before the change and continue to be performed after the change, you shall also bear joint and several liability for the New Entity's performance and consequences after the change.

V. Rights and Obligations of Both Parties

5.1 You promise and warrant that:

  • All information filled in and materials submitted by you during the account entity change process are true, accurate, and valid, and there is no act of misleading or potentially misleading the MaiToken Platform into accepting this account entity change application;

  • You do not utilize the MaiToken Platform's account entity change services to commit any act violating laws, regulations, departmental rules, national policies, etc., or infringing upon any third party's rights;

  • Your operation of changing the account entity will not place the MaiToken Platform in a position of breach of contract or violation of law. For any dispute, controversy, loss, infringement, or breach of contract liability arising from such account entity change behavior, the MaiToken Platform shall not assume liability beyond what is expressly stipulated by law.

You further promise that if losses are caused to the MaiToken Platform due to the aforementioned reasons, you shall bear corresponding compensation liability to the MaiToken Platform.

5.2 You understand and agree that:

  • The MaiToken Platform has the right at any time after you initiate an application to require you to provide written materials or other evidence proving that you have the right to operate the account entity change;

  • The MaiToken Platform has the right to determine whether your application complies with provisions of laws, regulations, policies, and stipulations of the Account Agreement based on its own prudent judgment; if circumstances violating laws, regulations, or other inappropriate changes exist, the MaiToken Platform has the right to refuse;

  • The MaiToken Platform has the right to record account entities, transaction histories, contracts, and other relevant information before and after the change of account real-name verification entity to comply with legal provisions and protect its own legitimate rights and interests;

  • If you commit any act violating Clause 5.1 of this Agreement, upon discovery, the MaiToken Platform has the right to directly terminate the account entity change process or revoke the completed account entity change operation, restoring the account entity to its pre-change state.

VI. Supplementary Provisions

6.1 You understand and accept that the conclusion, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. If any provision is inconsistent with or conflicts with legal provisions, such inconsistent or conflicting provision shall have no legal binding effect.

6.2 If any dispute arises concerning the content or performance of this Agreement, both parties shall conduct friendly negotiations; if negotiations fail, either party may file a lawsuit with the People's Court having jurisdiction in the domicile of the defendant.

6.3 If this Agreement is inconsistent or in conflict with relevant provisions previously signed by both parties or relevant statements of the MaiToken Platform, the provisions of this Agreement shall prevail.

You hereby warrant once again that you have fully read and understood the aforementioned Agreement on Applying for Account Entity Change, and voluntarily officially enter subsequent procedures for account entity change, accepting the binding force of the above terms.
